Words whose initial letter is capitalized have the meanings defined below. The same definitions apply regardless of whether the words appear in the singular or the plural, and regardless of whether they are used as nouns, verbs, or in any other part of speech.

The headings used in these Terms are for convenience only and shall not affect the interpretation of these Terms. References to “include” and “including” mean “include without limitation” and “including without limitation”, respectively. References to “days” mean calendar days unless expressly stated otherwise.

  • Account means a unique workspace created for the Customer to access and use the Service.
  • Affiliate means, with respect to a party, any entity that directly or indirectly controls, is controlled by, or is under common control with that party, where “control” means ownership of more than fifty percent (50%) of the voting securities or other ownership interests, or the power to direct the management of such entity.

Acknowledgment

These Terms govern the use of the Service and form the agreement between You and the Company. They define the rights and obligations of each party with respect to the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, by registering an Account, or by clicking a button indicating Your acceptance, You confirm that You have read, understood, and agreed to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

If You are entering into these Terms on behalf of a company or other legal entity, You represent that You have the authority to bind that entity to these Terms, in which case “You” refers to that entity. If You do not have such authority, or if You do not agree with these Terms, You must not accept these Terms and may not access or use the Service.

You further represent that You are at least eighteen (18) years of age. The Company does not permit individuals under the age of 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy. The Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information when You use the Service and tells You about Your privacy rights and how the law protects You. Please read the Privacy Policy carefully before using the Service.

The Service

CtrlConnect is a read-only management and analytics console for Microsoft 365 tenants. The Service surfaces identity, security, compliance, license, and workspace activity data by connecting to the Customer’s Microsoft Entra ID and related Microsoft 365 services using OAuth 2.0, with the minimum scopes required to deliver each feature.

The Service includes, without limitation:

  • Identity dashboards. Visibility into users, groups, guest accounts, sign-in risk, and conditional access policies.
  • Security signals. Audit log search, alert routing, and detection of risky activity across the Microsoft 365 estate.
  • Compliance evidence. Reports mapped to common frameworks (such as ISO 27001, SOC 2, and CIS Microsoft 365 benchmarks) to support audits and customer due-diligence requests.
  • Workspace lifecycle tooling. Read-only views of inactive mailboxes, OneDrive, SharePoint, and Teams content, plus guidance on cleanup workflows.
  • License optimization. Reports that identify inactive or under-used Microsoft 365 licenses.
  • API and integrations. Programmatic access to the data surfaced by the Service, plus integrations with ticketing, messaging, and SIEM tools.

The Service is provided on a software-as-a-service basis. The Company may, at its sole discretion, enhance, modify, or discontinue features of the Service. For material changes that reduce functionality, the Company will use commercially reasonable efforts to provide at least thirty (30) days’ advance notice through the Service or by email to administrators of active Accounts.

The Company may from time to time make Beta Features available to the Customer. Beta Features are provided “as is” and may be modified or withdrawn at any time. The Customer is not obligated to use Beta Features, and any use is at the Customer’s own risk. Notwithstanding anything to the contrary in these Terms, Beta Features are excluded from any service level commitments.

Accounts and Administrator Responsibilities

To use the Service, an administrator from the Customer organization must register an Account and complete the Microsoft consent flow. Authorized Users are created and managed within the Customer’s workspace by the Customer’s administrators.

The Customer is responsible for:

  • Determining which individuals are authorized to access the Service as Authorized Users.
  • Maintaining the confidentiality of administrator credentials, API tokens, single sign-on configurations, and any other access mechanisms.
  • Ensuring that each Authorized User complies with these Terms and with the Customer’s own internal policies.
  • All activities that occur under the Customer’s Account, whether or not the Customer authorized them.
  • Promptly notifying the Company of any unauthorized use of the Account or any other breach of security.
  • Maintaining accurate billing and contact information.

The Customer shall use commercially reasonable efforts to prevent unauthorized access to or use of the Service and shall notify the Company immediately upon becoming aware of any such unauthorized access or use. The Company reserves the right to suspend or terminate access at any time if it reasonably believes that credentials have been compromised, that the Service is being used in violation of these Terms, or that suspension is necessary to protect the Service, other customers, or third parties.

Subscriptions, Trials, and Fees

Certain features of the Service are billed on a subscription basis as set out in the applicable Order Form. Subscriptions may be offered on a monthly, annual, or multi-year basis. Fees and billing frequencies are specified at the time of purchase and confirmed in the Order Form.

Free trials

The Company may offer free or evaluation access to the Service for a limited period of time. Free trials are provided “as is” and may be terminated, modified, or converted into a paid subscription at the Company’s sole discretion. If the Customer does not cancel before the end of the trial period, the Customer agrees to pay the fees applicable to the plan selected at sign-up.

Payment

The Customer agrees to provide a valid payment method at the time of subscription. By submitting a payment method, the Customer authorizes the Company to charge the applicable fees, including any taxes, to that payment method. Fees are stated in euros unless otherwise indicated on the Order Form and are exclusive of taxes, unless expressly stated otherwise.

Auto-renewal

At the end of each Subscription Term, the subscription renews automatically under the same conditions unless the Customer cancels renewal or the Company cancels it. The Customer may cancel renewal at any time through the account settings or by contacting support. Cancellation takes effect at the end of the then-current Subscription Term, and the Customer remains responsible for fees through the end of that term.

Price changes

The Company may change subscription fees at any time. For existing subscriptions, the Company will provide at least thirty (30) days’ advance notice before any price change takes effect. If the Customer does not agree to a price change, the Customer may cancel renewal before the change takes effect.

Refunds

Except where required by law, fees are non-refundable. The Company may, at its sole discretion, issue refunds on a case-by-case basis for documented service outages, billing errors, or other exceptional circumstances.

Late payment

If the Customer fails to pay fees when due, the Company may suspend access to the Service until all outstanding amounts are paid. Interest may accrue on overdue amounts at the statutory rate or, where permitted, at the rate set out in the Order Form.

Taxes

Fees are exclusive of all sales, use, value-added, withholding, and other taxes or duties. The Customer is responsible for paying all such taxes, except for taxes based on the Company’s net income. If the Customer is required by law to withhold taxes from payments to the Company, the Customer shall increase the payment so that the Company receives the full amount stated on the Order Form.

License and Restrictions

Subject to the Customer’s compliance with these Terms and timely payment of all applicable fees, the Company grants the Customer a non-exclusive, non-transferable, non-sublicensable, worldwide license to access and use the Service during the applicable Subscription Term solely for the Customer’s internal business purposes.

The Customer shall not, and shall not permit any Authorized User or third party to:

  • License, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit the Service except as expressly permitted in these Terms.
  • Modify, translate, adapt, or create derivative works based on the Service, the Documentation, or any portion thereof.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, object code, or underlying structure of any part of the Service, except to the limited extent applicable law expressly prohibits such restrictions.
  • Remove or alter any proprietary notices, labels, or markings contained in or on the Service.
  • Use the Service to build a competitive product or service, or to replicate its functionality for any competitive purpose.
  • Perform any benchmark testing, load testing, or vulnerability scanning of the Service without the Company’s prior written consent.
  • Access or use the Service in a manner that violates any applicable law, regulation, or third-party right.

Acceptable Use Policy

The Customer agrees not to use, and shall not permit any Authorized User to use, the Service to:

  • Upload, post, transmit, or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, vulgar, obscene, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Impersonate any person or entity, including the Company, or falsely state or otherwise misrepresent the Customer’s affiliation with a person or entity.
  • Upload or transmit viruses, malware, worms, time bombs, or any other harmful or destructive code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware.
  • Interfere with or disrupt the Service, the servers or networks connected to the Service, or any related security, authentication, or enforcement mechanisms.
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service, whether through hacking, password mining, or any other means.
  • Use the Service to process Content that the Customer does not have a lawful basis to access, including data obtained through improper consent.
  • Engage in any activity that could damage, disable, overburden, or impair the Service or interfere with any other party’s use of the Service.
  • Violate any applicable local, national, or international law or regulation.

The Company reserves the right, but not the obligation, to monitor the Service for violations of this Acceptable Use Policy and to take appropriate action, including suspension or termination, in respect of any Account that the Company reasonably believes is in breach.

Customer Content and Data

The Customer retains all right, title, and interest in and to Customer Content, including all intellectual property rights therein. The Customer is solely responsible for the accuracy, quality, legality, and integrity of Customer Content and for obtaining all rights necessary for the Company to lawfully process Customer Content in accordance with these Terms and the Privacy Policy.

The Customer hereby grants the Company a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, process, and otherwise use Customer Content solely to provide the Service and to develop and improve the Service. The Company will use Customer Content only as described in these Terms and the Privacy Policy.

The Customer represents and warrants that it has obtained all necessary rights, consents, and authorizations to (i) submit Customer Content to the Service, (ii) grant the license set out above, and (iii) allow the Company to retrieve Tenant Data from Microsoft 365 via the Microsoft Graph API.

The Company acts as a data processor for Customer Content that contains personal data, and processes such personal data on behalf of the Customer in accordance with the Data Processing Addendum available upon request.

Intellectual Property Rights

The Service, including its source code, object code, design, branding, logos, trademarks, user interface, look and feel, and Documentation, is and will remain the exclusive property of the Company and its licensors. Nothing in these Terms transfers ownership of the Service or any portion thereof to the Customer. All rights not expressly granted to the Customer are reserved by the Company.

The Company may use any feedback, suggestions, or ideas provided by the Customer regarding the Service for any purpose, including the improvement of the Service and the creation of new features, without obligation to the Customer.

Third-Party Services and Microsoft Consent

The Service relies on Third-Party Services, including Microsoft Graph, Microsoft Entra ID, and other Microsoft 365 APIs. The Customer acknowledges that the Service depends on the continued availability and functionality of these Third-Party Services, which are governed by Microsoft’s terms and policies.

To enable the Service, the Customer (or an authorized administrator acting on the Customer’s behalf) must complete the Microsoft consent flow and grant the Company’s application the OAuth permissions it requests. The Customer is responsible for ensuring that any consents granted on behalf of the Customer’s organization are appropriate and authorized.

The Company does not control and is not responsible for the availability, accuracy, completeness, security, privacy practices, or content of Third-Party Services. Any use of Third-Party Services is at the Customer’s own risk and subject to the terms of those providers. The Company is not liable for any damages or losses caused by Third-Party Services, including changes to APIs, rate limits, or service outages.

Confidentiality

Each party may disclose Confidential Information to the other in connection with these Terms. The receiving party shall (i) protect the Confidential Information using at least the same degree of care it uses to protect its own confidential information of similar importance, and in no event less than reasonable care, (ii) use Confidential Information only as necessary to perform its obligations or exercise its rights under these Terms, and (iii) limit access to Confidential Information to those employees, contractors, and advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set out in these Terms.

The obligations in this section do not apply to information that the receiving party can demonstrate (i) was rightfully in its possession at the time of disclosure, (ii) became publicly known through no fault of the receiving party, (iii) was rightfully received from a third party without a duty of confidentiality, or (iv) was independently developed without use of the disclosing party’s Confidential Information.

Notwithstanding anything to the contrary, the Company may use anonymized, aggregated information derived from Customer Content for the purposes of improving the Service, benchmarking, and producing industry reports, provided that such information does not identify the Customer or any individual.

Security and Data Protection

The Company implements and maintains technical and organizational measures designed to protect Customer Content against unauthorized or unlawful processing, accidental loss, destruction, or damage. These measures are described in more detail in the Company’s security overview and the Data Processing Addendum.

Without limiting the foregoing, the Company shall: (i) encrypt Customer Content in transit (TLS 1.2 or higher) and at rest using industry-standard algorithms; (ii) restrict access to Customer Content to employees and contractors who require such access to provide the Service and who are bound by confidentiality obligations; (iii) maintain logging of access to production systems; and (iv) conduct regular vulnerability assessments of the Service.

The Company will notify the Customer without undue delay, and in any event within seventy-two (72) hours, after becoming aware of a security incident affecting Customer Content, and will provide reasonable cooperation and assistance in connection with the Customer’s investigation and remediation efforts.

Representations and Warranties

Each party represents and warrants that it has full corporate power and authority to enter into and perform these Terms, and that the execution and performance of these Terms will not conflict with any other agreement to which it is a party.

The Customer represents and warrants that it has all rights, consents, and authorizations necessary to provide Customer Content to the Company and to grant the licenses set out in these Terms, including all consents required under applicable data protection laws.

The Company represents and warrants that it will provide the Service in a professional and workmanlike manner consistent with generally accepted industry standards.

Disclaimer of Warranties

Except as expressly set out in these Terms, the Service is provided on an “AS IS” and “AS AVAILABLE” basis, with all faults and without warranty of any kind.

To the maximum extent permitted by applicable law, the Company expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, course of performance, or usage of trade.

Without limiting the foregoing, the Company does not warrant that the Service will be uninterrupted, secure, free from harmful components, or error-free, that any defects will be corrected, or that the Service will meet the Customer’s particular requirements. No advice or information, whether oral or written, obtained by the Customer from the Company shall create any warranty not expressly stated in these Terms.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company, its Affiliates, officers, directors, employees, agents, suppliers, or licensors be liable to the Customer or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for loss of profits, revenue, goodwill, use, data, or other intangible losses, arising out of or in connection with the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not the Company has been advised of the possibility of such damages.

In no event shall the Company’s total aggregate liability for all claims arising out of or related to these Terms or the Service exceed the greater of (i) the total amount paid by the Customer to the Company under these Terms during the twelve (12) months immediately preceding the event giving rise to the liability, or (ii) one hundred euros (€100).

The limitations set out in this section apply to the maximum extent permitted by applicable law and shall apply even if any limited remedy fails of its essential purpose. Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law, including liability for (i) death or personal injury caused by negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any other liability that cannot be limited as a matter of mandatory law.

Indemnification

The Customer shall defend, indemnify, and hold harmless the Company and its Affiliates, officers, directors, employees, agents, and licensors from and against any third-party claims, demands, actions, suits, or proceedings, and any damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with (i) the Customer’s use of the Service in violation of these Terms, (ii) the Customer Content, or (iii) the Customer’s violation of any applicable law or third-party right.

The Company shall defend, indemnify, and hold harmless the Customer from and against any third-party claim alleging that the Service, as provided by the Company and used in accordance with these Terms, infringes the intellectual property rights of a third party. The Company’s obligations under this section shall not apply to the extent the claim arises from (i) the Customer Content, (ii) use of the Service in combination with products or services not provided by the Company, or (iii) any modification of the Service not made by the Company.

The indemnified party shall (i) promptly notify the indemnifying party of the claim, (ii) give the indemnifying party sole control of the defense and settlement of the claim (provided that the indemnifying party shall not enter into any settlement that imposes any liability or obligation on the indemnified party without its prior written consent), and (iii) provide reasonable cooperation in the defense of the claim at the indemnifying party’s expense.

Suspension

The Company may suspend access to the Service, in whole or in part, immediately and without prior notice if the Company reasonably believes that:

  • The Customer has breached any provision of these Terms.
  • Continued provision of the Service would create a security risk or material technical issue.
  • Suspension is required to comply with applicable law or a valid order of a governmental authority.
  • Fees are past due and remain unpaid after reasonable notice.

Where lawful and reasonably practicable, the Company will give the Customer advance notice of suspension and an opportunity to remedy the issue. Suspension does not relieve the Customer of its obligation to pay fees.

Term and Termination

These Terms commence on the Effective Date and continue for the duration of the Subscription Term, unless earlier terminated as set out below. Each Subscription Term renews as set out in the “Subscriptions, Trials, and Fees” section.

Termination for convenience

The Customer may terminate these Terms at any time by cancelling the subscription through account settings or by contacting support. Termination takes effect at the end of the then-current Subscription Term, and prepaid fees are non-refundable except as expressly set out in these Terms.

Termination for cause

Either party may terminate these Terms immediately upon written notice if (i) the other party materially breaches these Terms and fails to cure such breach within thirty (30) days after receipt of written notice describing the breach, or (ii) the other party becomes insolvent, files for bankruptcy, or makes a general assignment for the benefit of creditors.

Effect of termination

Upon termination of these Terms, (i) all licenses granted to the Customer under these Terms will immediately cease, (ii) the Customer shall cease all use of the Service, and (iii) the Company may delete Customer Content in accordance with its retention policies, unless retention is required by law. Sections of these Terms that by their nature should survive termination, including those relating to Fees, Confidentiality, Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, Governing Law, and General Provisions, shall survive termination.

Export Control and Sanctions

The Customer represents and warrants that it is not located in, under the control of, or a national or resident of any country or region subject to sanctions or export restrictions administered by the European Union, the United Nations, the United States, the United Kingdom, or any other relevant authority.

The Customer agrees to comply with all applicable export control and sanctions laws and regulations, including the EU Dual Use Regulation, the U.S. Export Administration Regulations, and any restrictions on the export, re-export, or transfer of software or technology. The Customer shall not use the Service in connection with any prohibited end use, including military end uses, the development of weapons of mass destruction, or surveillance of individuals for repressive purposes.

Anti-Bribery and Anti-Corruption

Each party agrees to comply with all applicable anti-bribery and anti-corruption laws, including the U.K. Bribery Act 2010, the U.S. Foreign Corrupt Practices Act, and any local equivalents.

Neither party shall, directly or indirectly, offer, promise, authorize, or give anything of value to any government official or other person for the purpose of improperly influencing any act or decision related to these Terms or the Service.

Governing Law and Dispute Resolution

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

The parties shall first attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiations between authorized representatives for a period of at least thirty (30) days. If the dispute is not resolved through negotiation, the parties agree that the competent court in Amsterdam, the Netherlands, shall have exclusive jurisdiction over any dispute, except where mandatory consumer protection law provides otherwise.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

General Provisions

Entire agreement

These Terms, together with the Order Form and the Privacy Policy, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior or contemporaneous understandings, proposals, communications, and agreements, whether oral or written.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the parties shall replace the invalid provision with a valid provision that most closely reflects the original intent.

Waiver

No waiver of any provision of these Terms shall be effective unless made in writing and signed by the waiving party. No failure or delay in exercising any right under these Terms shall operate as a waiver of such right.

Assignment

The Customer may not assign these Terms, in whole or in part, without the Company’s prior written consent. The Company may assign these Terms to any of its Affiliates or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this section is null and void.

Force majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) to the extent caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network or telecommunications failures, denial-of-service attacks, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Notices

Notices to the Company shall be sent to legal@ctrlconnect.nl with a copy by post to CtrlConnect B.V., Amsterdam, the Netherlands. Notices to the Customer may be sent to the email address of the administrator of the Account. Notices are deemed given (i) when delivered personally, (ii) one business day after deposit with a nationally recognized overnight courier, or (iii) on the third business day after being sent by registered mail.

No third-party beneficiaries

Except as expressly stated in these Terms, these Terms do not confer any rights or remedies on any person other than the parties.

Independent contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between the parties.

Order of precedence

In the event of a conflict between these Terms and an Order Form, the Order Form shall prevail with respect to the subject matter of the Order Form only. In the event of a conflict between these Terms and the Privacy Policy, these Terms shall prevail except with respect to data protection matters, in which case the Privacy Policy shall prevail.

Changes to these Terms

The Company reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, the Company will provide at least thirty (30) days’ notice prior to any new terms taking effect by posting a notice on the website or sending an email to administrators of active Accounts. For new Customers, material changes will be effective immediately upon posting.

By continuing to access or use the Service after any revisions become effective, the Customer agrees to be bound by the revised terms. If the Customer does not agree to the new terms, in whole or in part, the Customer may terminate the subscription before the changes take effect.
